• Counsel to Linedata Services (“LDS”), a French IT services group, with respect to a major outsourcing project in which a consortium of leading French banks and insurance companies conferred to LDS the development, migration, exploitation and maintenance of the technical platform for the management of billions of euros invested in employee savings plans.
• Counsel to France Telecom in several international outsourcing projects.
• Assistance to eBay with respect to data privacy matters and a huge variety of other legal issues raised by the launch of its online trading platform activities in France.
• Assistance provided to the main French supplier of trust services for electronic data transmissions, on the whole range of issues linked with the dematerialization of the information flows of public entities (including electronic signatures, public law, data privacy, establishment of proof, etc.)
• Preparation and negotiation of a myriad of agreements on behalf of French and American computer software and hardware companies.
• Drafting and negotiation of over two dozen software, telecommunications and Internet agreements on behalf of Groupe Danone.
• Counsel to the Hitachi group on encryption regulatory matters.
• Assisting a number of new telecommunications operators and service providers with respect to the setting up of their activities in France, obtaining the necessary telecommunications licenses and preparation of contracts.
• Counseled UPC and Chello on various cable and Internet regulatory and contractual matters.
• Assisted Telecom Italia with respect to various projects in France, including the setting up of its joint venture with Bouygues and Veba, its legal audit of Bouygues Télécom and with respect to the joint venture's bid to partner with the SNCF to develop the latter's internal network into an alternative telecommunications infrastructure in France.
• Assisted one of the principal international satellite operators with respect to issues of current and future French regulation of the satellite sector.
• Advised the French cable operators SudCâble Services, Câble Services de France, Cité Interactive, Première Câble Services and TME France concerning the contractual, operational and regulatory legal issues raised in the course of the setting up, development and operation of cable transmission systems in France, the negotiation of concession agreements and the provision of telephony and Internet services over their networks.
• Assisted numerous clients with respect to mergers and acquisitions of new technology companies, including:
- Lead counsel to the purchasers in the acquisition by CINVEN and Altice, which control the n° 1 cable operator in France, of the n° 2 cable operator (UPC Noos) from Liberty Media in a deal valued at 1.25 billion euros.
- Lead counsel to the purchasers in the acquisition by the CINVEN/ Altice consortium of the cable networks of France Télécom Cable, NC Numericable and TDF.
- Lead counsel to the purchaser in the acquisition by Clinical Data Inc. of the French biotech laboratory, Genome Express.
- French counsel to Mercury Computer Systems in the acquisition of the TGS group.
- Lead counsel to EDF in its sale of a cable subsidiary.
- Lead counsel to eBay Inc. in the acquisition of the iBazar group.
- Lead counsel to Via Net.Works in three separate acquisitions of French ISPs.
- Lead counsel to 365 Corp in its acquisitions of 3 Internet companies.
- Lead counsel to InterComm in its acquisitions of 3 cable operators and then its subsequent merger into UPC.
