Franklin advises senior banks on the acquisition of Softair by Cesacap

Group Cesacap (formerly Weecap), a leading electrical engineering firm operating in the Paris area, is expanding its service offering by acquiring HVAC company Softair.

This acquisition dovetails with Weecap’s core strengths and expands its presence in the Paris area.

Two of Softair’s three founders are to rollover part of the transaction proceeds into the business, alongside Weecap’s management team, Sparring Capital and Socadif Capital Investissement, to support the Group’s ongoing development efforts.

The financing of the transaction included a mezzanine facility provided by Omnes Capital and a senior debt arranged by Caisse d’Epargne Ile de France, as arranger and lender, Banque Européenne du Crédit Mutuel, Banque Populaire Val de France and Crédit Agricole Ile de France, as lenders.

The bank consortium was advised by Franklin’s Banking & Finance team, consisting of partner Olivier Borenstejn and associate Fanny Chen.
