Franklin advises HSF in connection with the acquisition of HMC under a restructuring disposal plan

Franklin, in partnership with Financière LGAM led by Xavier Moreau, supported HSF, a builder of passive timber housing led by Sébastien Flais, in connection with its acquisition of HMC under a restructuring disposal plan. HMC is a carpentry company specialising in construction whose employees have excellent know-how in carpentry, timber frame manufacture, cladding and roofing.

By a judgment handed down on 9 June 2023, the Commercial Court of Cherbourg ratified the acquisition plan presented by HSF for the transfer of assets and employees allowing trade and private sites currently under construction to continue and jobs to be protected.

The complementary relationship between HSF and Financière LGAM, which is owned by Peninsular Capital, BNP Paribas Développement and Manco LGAM, will enable the recovery of the new HMC.

HSF was advised by Franklin with a team comprising Numa Rengot, Partner, Fanny Attal and Marouan Fawzi, Associates, for the Restructuring aspects.

The co-managers of HMC were advised, in the case of Mr. Phillipe Henry by the law firm Levacher (Jean-Pierre Levacher) and, in the case of Mr. Erwan Le Floch, by AG Avocat (Alexandrine Guillaume).
