Franklin advises Domecco (Batigroupe) on acquiring Coldefy Formation and IPFAC – SE.MA.FOR. (Ixio group)

Franklin’s Restructuring practice advised Domecco, a Batrigroupe company, on taking over Coldefy Formation and IPFAC – SE.MA.FOR, two companies in reorganization since December 3, 2020.

Coldefy Formation and IPFAC – SE.MA.FO provide transport, logistics and civil engineering & construction training services out of two training centers (in Beauvais and Compiègne). On December 3, 2020, the Commercial Court of Bobigny placed Coldefy Formation and IPFAC – SE.MA.FOR in reorganization. The two companies were owned by the Ixio Group (in liquidation), which employed over 260 workers across 27 vocational training centers.

Founded in 2014, Domecco is an independent company providing home building, improvement and performance solutions. The acquisition of the assets and operations of Coldefy Formation and IPFAC – SE.MA.FOR gives Domecco the opportunity to diversify and create effective synergies between its various entities, by enhancing their capacity to effectively meet the growing needs of their clients. The acquired assets will complete Domecco’s value chain.

On March 25, 2021, the Commercial Court of Bobigny selected Domecco’s bid for the two companies’ assets and staff over bids from several leading vocational training providers in France.

Franklin’s team advising Domecco is composed of partner Numa Rengot, assisted by associate Pierre Dupuys. The firm Aton Partners advised on financial aspects.

Coldefy Formation and IPFAC – SE.MA.FO are advised by Thierry Montéran – UGGC Avocats

Court-appointed officials in the reorganization proceedings:

  • Trustees: V&V Associés (Stéphane Vermue) and Bernard Houplain
  • Creditors’ representative: Marie Danguy and MJS Partners (Nicolas Soinne)
